General Terms and Conditions

1. Provider and scope

These General Terms and Conditions (Allgemeine Geschäftsbedingungen, AGB) apply to all orders, offers and deliveries via SnackDragon.eu between Ventec Systems GmbH, Carl-Zeiss-Ring 15a, 85737 Ismaning, Germany, and its customers.

SnackDragon.eu is aimed exclusively at entrepreneurs within the meaning of Section 14 BGB, legal entities under public law and special funds under public law (öffentlich-rechtliche Sondervermögen). The conclusion of a contract with consumers within the meaning of Section 13 BGB is excluded.

2. Products and scope of services

SnackDragon.eu offers vending machines, add-on modules, payment components, accessories and spare parts for commercial operators. The product description, the configuration shown in the ordering process and any written order confirmation are authoritative.

Technical data, illustrations, dimensions, weights, capacities and delivery times are approximate values customary in the industry, unless they are expressly confirmed as binding. Reasonable technical changes are reserved, provided they do not impair the contractual purpose.

3. Conclusion of contract

The presentation of products on SnackDragon.eu does not constitute a legally binding offer, but an invitation to place an order.

The customer submits a binding offer by completing the ordering process or by sending an order by e-mail. Ventec Systems GmbH may accept this offer by express order confirmation, invoice, shipping confirmation or delivery of the goods.

In the case of individually configured products, larger quantities, invoice requests or open compliance or availability questions, Ventec Systems GmbH may require a separate review and confirmation before acceptance.

In the online shop, the customer places an order by adding the desired products to the shopping basket, entering their company and delivery details, being able to check and correct their entries before submission using the correction and back functions of the ordering process, and submitting the order subject to payment via the final, clearly labelled button. Receipt of the order is confirmed electronically without undue delay; this confirmation of receipt does not yet constitute acceptance unless acceptance is expressly declared therein.

The order data are sent to the customer with the confirmation e-mail and can be saved there; these AGB can be accessed and saved at any time at https://snackdragon.eu/ch/en/agb.html. The contract languages are German, French, Italian and English. In case of differences between the language versions, the German version prevails. To the extent permitted by Section 312i(2) BGB in dealings with entrepreneurs, the obligations under Section 312i(1) sentence 1 nos. 1 to 3 BGB are waived; the possibility of retrieving the contractual provisions, including these AGB, upon conclusion of the contract and saving them in a reproducible form remains unaffected.

3a. Financing via a financing partner

Financing is currently not offered for deliveries to Switzerland. The following provisions apply only insofar as an acquisition via a financing partner is expressly agreed. In this case, the following applies:

The financing contract is concluded exclusively between the customer and the financing company. Ventec Systems GmbH is not a party to it and gives no commitment regarding approval, terms or duration. Monthly instalments stated on the website are non-binding sample calculations and are subject to the credit check by the financing company.

In these cases, the purchase contract for the vending machine is concluded between Ventec Systems GmbH and the financing company; the latter is the buyer and the invoice recipient. Delivery and handover take place at the installation site designated by the customer. The customer confirms proper handover in writing; this confirmation is a prerequisite for payment by the financing company.

A financing contract that has already been concluded precludes the return option described in clause 12, as it cannot be cancelled unilaterally by Ventec Systems GmbH. In these cases, unwinding the contract requires the consent of the financing company. Statutory warranty rights remain unaffected.

4. Prices, taxes and shipping costs

For deliveries to Switzerland, the shop prices are net prices in Swiss francs. Card payment and payment in advance are made in CHF. For purchase on invoice via Billie, the German EUR catalogue prices and the shipping costs in EUR shown in the ordering process apply. The payment currency and the total amount are displayed before the order is submitted. In the case of an export delivery from Germany to Switzerland under Section 4 no. 1 letter a in conjunction with Section 6 of the Umsatzsteuergesetz (UStG, German VAT Act), no German VAT is charged.

Delivery to Switzerland is made DAP to the specified delivery address in accordance with Incoterms 2020. The Swiss import clearance, import tax, any import duties and taxes and the carrier’s clearance fees are borne by the buyer. The Swiss import tax is assessed on the consideration plus transport and insurance costs up to the place of destination. No Swiss customs duties are payable on these goods. Shipping, freight forwarding, installation, packaging or other additional costs are shown in the ordering process, in the order confirmation or in a separate offer.

For the free delivery of a spare part under the agreed warranty or the return of a repaired original component to the original delivery address in Switzerland, Ventec Systems GmbH, by way of exception to the cost allocation above, bears the necessary standard shipping, the resulting Swiss import VAT and any other import duties. This exception does not apply to the initial delivery of the vending machine or module. The buyer’s cooperation in import clearance and status as importer remain unchanged. For this standard shipment, Ventec Systems GmbH also bears the carrier fees necessary for import clearance.

Price changes are reserved until the order is accepted. After conclusion of the contract, the confirmed prices apply.

5. Payment

Payments are made by secure online payment, payment in advance/bank transfer or a payment method offered in the ordering process. The payment method actually available may depend on the product, the value of the goods, the customer status and the country of delivery.

For payment in advance, we grant the discount of 1 % shown in the ordering process on the net amount for goods and shipping; any VAT that may be payable is calculated on the reduced net amount. No German VAT is incurred on the tax-exempt export delivery to Switzerland. The total amount shown must be paid within five working days of the order confirmation being sent. If the customer expressly confirms a subsequent switch to payment in advance for an order already placed, the total amount shown on the subsequently sent prepayment invoice is payable within five working days after that invoice is sent. Working days are Monday to Friday; statutory public holidays at the registered office of Ventec Systems GmbH do not count. If no payment has been received by the end of this period, Ventec Systems GmbH will remind the customer and set a grace period of two further working days. If the grace period expires without payment, Ventec Systems GmbH is entitled to cancel the order or, insofar as a contract has already been concluded, to withdraw from the contract.

Purchase on invoice via Billie is only available to business customers and subject to approval by Billie. The customer is redirected to Stripe or Billie for review and payment approval. After approval, the payment term stated there and on the invoice applies, in the checkout generally 30 days. Payment must be made to the payment office notified by Billie; in the event of default in payment, the information provided there and the statutory rules on default apply.

Ventec Systems GmbH may make deliveries conditional on full payment, a positive customer check or complete company details.

6. Delivery, transfer of risk and partial deliveries

Deliveries are made to the delivery address specified by the customer. The method of delivery depends on product size and availability; vending machines and larger modules may be delivered by freight forwarder.

Delivery dates and delivery periods are binding if they have been expressly confirmed as binding. Otherwise, they are estimated dates.

In the case of DAP delivery to Switzerland, the risk of accidental loss and accidental deterioration passes to the customer when the goods are made available for unloading on the arriving means of transport at the agreed place of destination.

Partial deliveries are permitted insofar as they are reasonable for the customer.

7. Customer's duties to cooperate

The customer ensures that the delivery address, access route, unloading conditions, power connection, installation area, operating permits and other conditions of use are suitable for the ordered product.

In the case of age-restricted product ranges, payment services, telecommunications/SIM connections, site operation or installation of vending machines, the customer is responsible for compliance with the statutory and regulatory requirements applicable to their business.

Cooperation on import. Before shipment, the buyer provides the information required for Swiss import clearance, in particular the importer details and the customs clearance instructions. If the buyer fails to provide this cooperation, the delivery date is postponed accordingly; the buyer bears any resulting waiting times and additional costs. By importing in its own name, the buyer becomes the importer within the meaning of Swiss product and disposal law and assumes the associated obligations.

8. Retention of title

The delivered goods remain the property of Ventec Systems GmbH until full payment of all claims arising from the respective order.

In the case of an ongoing business relationship, the goods remain the property of Ventec Systems GmbH until all outstanding claims arising from the business relationship have been settled in full.

9. Duty to inspect and give notice of defects

If the customer is a merchant (Kaufmann) within the meaning of the Handelsgesetzbuch (HGB, German Commercial Code), the duties to inspect and give notice of defects (Untersuchungs- und Rügepflichten) under Section 377 HGB apply. Obvious transport damage, short deliveries or incorrect deliveries must be notified without undue delay after delivery.

10. Liability for defects

The statutory rights in respect of defects for entrepreneurs apply, unless otherwise provided below.

For new goods, the limitation period for claims for defects against entrepreneurs is one year from delivery. This reduction does not apply to claims for damages by the customer arising from intent or gross negligence, in the event of injury to life, body or health, in the event of fraudulent concealment of a defect, where a guarantee of quality (Beschaffenheitsgarantie) has been assumed, or to claims under the German Product Liability Act (Produkthaftungsgesetz); in these cases, the statutory limitation periods apply. For used goods, the conditions confirmed in the individual case apply. Normal wear and tear and use-related wear do not constitute a material defect (Sachmangel).

For every new vending machine and module approved for this purpose, the service "3 years of spare parts free of charge" is included in the purchase price; it is not charged separately and is not shown as a separate item. In addition, the warranty terms available at the time of conclusion of the contract apply. It is an independent voluntary guarantee and does not restrict the statutory rights in respect of defects. For products not approved for this purpose, no additional voluntary guarantee of quality or durability is granted. Information on the practical handling of defect cases can be found on the page Liability for defects & service.

11. Liability

Ventec Systems GmbH is liable without limitation in cases of intent, gross negligence, injury to life, body or health, fraudulent concealment of a defect, where a guarantee of quality has been assumed, and under mandatory statutory provisions, in particular the German Product Liability Act.

In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for the contract. Material contractual obligations (wesentliche Vertragspflichten) are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the customer may regularly rely. Otherwise, liability for slight negligence is excluded.

12. Returns and cancellations in B2B transactions

There is no statutory consumer right of withdrawal (Widerrufsrecht) in purely business-to-business transactions. For returns without a defect, the voluntary 30-day return option set out below applies. Cancellations and other goodwill arrangements require a separate agreement.

Business customers may return complete, functional standard goods without signs of use or with slight signs of use, and without an asserted defect, within 30 days of delivery in accordance with the return conditions. The return must be notified by e-mail before the goods are sent back; consent is not required for this. Statutory rights in respect of defects remain unaffected. For undamaged goods without signs of use, we refund 100 % of the value of the goods; for slight signs of use, 90 %. For clearly visible signs of use, a refund of 80 % may be agreed in individual cases.

We coordinate the return transport together. As a rule, the customer bears the costs of return transport unless otherwise agreed in writing; additional costs such as freight forwarding, assembly, packaging, payment processing or special configuration are not automatically refunded. For individually configured products or special procurements, we clarify a possible take-back on a case-by-case basis.

13. Data protection

Information on the processing of personal data can be found in our Privacy Policy.

14. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent legally permissible, the registered office of Ventec Systems GmbH in Ismaning, Germany.

Should individual provisions of these AGB be or become invalid, the validity of the remaining provisions remains unaffected.
