Terms and conditions
1. Provider and scope
These general terms and conditions apply to all orders, offers and deliveries via SnackDragon.eu between Ventec Systems GmbH, Carl-Zeiss-Ring 15a, 85737 Ismaning, Germany, and its customers.
SnackDragon.eu is aimed exclusively at businesses within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law (öffentlich-rechtliche Sondervermögen). The conclusion of a contract with consumers within the meaning of § 13 BGB is excluded.
2. Products and scope of services
Via SnackDragon.eu, vending machines, additional modules, payment components, accessories and spare parts are offered for commercial operators. The product description, the configuration stated in the ordering process and any written order confirmation are decisive.
Technical data, images, dimensions, weights, capacities and delivery times are approximations customary in the trade, unless they are expressly confirmed as binding. Reasonable technical changes remain reserved, provided they do not impair the contractual purpose.
3. Conclusion of the contract
The presentation of the products on SnackDragon.eu is not a legally binding offer but an invitation to place an order.
The customer makes a binding offer by completing the ordering process or by sending an order by e-mail. Ventec Systems GmbH may accept this offer by an express order confirmation, an invoice, a dispatch confirmation or delivery of the goods.
In the case of individually configured products, larger quantities, requests for payment on invoice or open questions about compliance or availability, Ventec Systems GmbH may require a separate check and confirmation before acceptance.
In the web shop, the customer places an order by putting the desired products in the shopping cart and entering the business and delivery details, whereby the customer can check and correct the entries before submission using the correction and back functions of the ordering process, and by submitting the order via the final, clearly labelled button entailing an obligation to pay. Receipt of the order is confirmed electronically without delay; this acknowledgement of receipt is not yet an acceptance, unless acceptance is expressly declared therein.
The order details are sent to the customer with the confirmation e-mail and can be stored there; these general terms and conditions can be consulted and stored at any time at https://snackdragon.eu/nl/en/agb.html. The contract languages are German, French, English and Dutch. In case of differences between the language versions, the German version prevails. Insofar as § 312i para. 2 BGB permits this in dealings with businesses, the obligations under § 312i para. 1, sentence 1, nos. 1 to 3 BGB are contractually excluded; the possibility of retrieving the contract terms, including these general terms and conditions, when the contract is concluded and of storing them in reproducible form remains unaffected.
3a. Financing via a financing partner
Financing is currently not offered for deliveries to the Netherlands; it is available only for installation locations in Germany. The following provisions apply only insofar as a purchase via a financing partner is expressly agreed. In that case the following applies:
The financing agreement is concluded exclusively between the customer and the financing company. Ventec Systems GmbH is not a party to it and gives no commitment regarding approval, conditions or term. Monthly instalments stated on the website are non-binding calculation examples and are subject to the credit assessment by the financing company.
In these cases the purchase agreement for the machine is concluded between Ventec Systems GmbH and the financing company; the latter is the buyer and invoice recipient. Delivery and handover take place at the installation location specified by the customer. The customer confirms the correct handover in writing; this confirmation is a condition for payment by the financing company.
An already concluded financing agreement precludes the return option described in point 12, because it cannot be terminated unilaterally by Ventec Systems GmbH. In these cases, reversing the transaction requires the consent of the financing company. Statutory rights in respect of defects remain unaffected.
4. Prices, VAT and shipping costs
Unless stated otherwise, all prices are net prices in euros, plus statutory VAT. Gross prices are additionally stated insofar as they are displayed in the shop.
Shipping, freight forwarding, installation, packaging, customs or other additional costs are stated in the ordering process, in the order confirmation or in a separate quotation.
Price changes remain reserved until the order is accepted. After the contract is concluded, the confirmed prices apply.
5. Payment
Payments are made by secure online payment, prepayment/bank transfer or a payment method offered in the ordering process. The payment method actually available may depend on the product, the value of the goods, the customer status and the country of delivery.
In the case of prepayment, we grant the discount of 1 % stated in the ordering process on the net amount of goods and shipping; VAT is calculated on the reduced net amount. The stated total amount must be paid within five working days after the order confirmation has been sent. If the customer expressly confirms a subsequent switch to payment in advance for an order already placed, the total amount shown on the subsequently sent prepayment invoice is payable within five working days after that invoice is sent. Working days are Monday to Friday; statutory public holidays at the place of business of Ventec Systems GmbH do not count. If no payment has been received when this period expires, Ventec Systems GmbH sends the customer a reminder and sets an additional period of two further working days. After the additional period has expired without result, Ventec Systems GmbH is entitled to cancel the order or, insofar as a contract has already been concluded, to rescind the contract.
Purchase on invoice via Billie is available only to business customers and subject to approval by Billie. For the check and the payment approval, the customer is redirected to Stripe or Billie respectively. After approval, the payment term stated there and on the invoice applies, in principle 30 days in the checkout. Payment must be made to the payment recipient specified by Billie; in the event of late payment, the instructions given there and the statutory rules on default apply.
Ventec Systems GmbH may make deliveries conditional on full payment, a positive customer check or complete business details.
6. Delivery, transfer of risk and partial deliveries
Deliveries are made to the delivery address specified by the customer. The method of delivery depends on the product dimensions and availability; machines and larger modules may be delivered by freight forwarder.
Delivery dates and delivery periods are binding if they have been expressly confirmed as binding. Otherwise they are expected indications.
In the case of businesses, the risk of accidental loss and accidental deterioration passes to the customer at the latest upon handover to the shipping service, freight forwarder or carrier.
Partial deliveries are permitted insofar as they can reasonably be expected of the customer.
7. Customer's duties to cooperate
The customer ensures that the delivery address, the access route, the unloading conditions, the power connection, the installation space, the business permits and the other conditions of use are suitable for the ordered product.
In the case of age-restricted assortments, payment services, telecommunications/SIM connections, location operation or the placing of machines, the customer is responsible for compliance with the statutory and official requirements applicable to its own business.
8. Retention of title
The delivered goods remain the property of Ventec Systems GmbH until full payment of all claims arising from the order concerned.
In the case of an ongoing business relationship, the goods remain the property of Ventec Systems GmbH until full settlement of all outstanding claims arising from the business relationship.
9. Duty of inspection and notification of defects
If the customer is a merchant (Kaufmann) within the meaning of the German Commercial Code (Handelsgesetzbuch), the duties of inspection and notification of defects under § 377 HGB apply. Visible transport damage, missing quantities or wrong deliveries must be reported without delay after delivery.
10. Liability for defects
The statutory rights in respect of defects for businesses apply, unless otherwise provided below.
For new goods, the limitation period for claims for defects against businesses is one year from delivery. The shortening does not apply to claims for damages by the customer based on intent or gross negligence, in the case of injury to life, body or health, in the case of fraudulent concealment of a defect, in the case of the giving of a quality guarantee (Beschaffenheitsgarantie), nor to claims under the German Product Liability Act (Produkthaftungsgesetz); in that respect the statutory limitation periods apply. For used goods, the conditions confirmed in each individual case apply. Normal wear and tear and abrasion caused by use do not constitute a material defect (Sachmangel).
For every new machine released for this purpose and every new module released for this purpose, the service “3 years of free spare parts” is included in the purchase price; it is not charged separately and not shown as a separate item. In addition, the guarantee terms that can be consulted when the contract is concluded apply. This service is an independent voluntary guarantee and does not restrict the statutory rights in respect of defects. For products not released for this purpose, no additional voluntary quality or durability guarantee is given. Information on the practical handling of defects can be found on the page Liability for defects & service.
11. Liability
Ventec Systems GmbH is liable without limitation in the case of intent, gross negligence, injury to life, body or health, fraudulent concealment of a defect, the giving of a quality guarantee (Beschaffenheitsgarantie) and on the basis of mandatory statutory provisions, in particular the German Product Liability Act (Produkthaftungsgesetz).
In the case of a slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose performance is what makes the proper execution of the contract possible in the first place and on whose observance the customer may regularly rely. For the rest, liability for slight negligence is excluded.
12. Returns and cancellations in B2B dealings
In pure transactions between businesses there is no statutory right of withdrawal for consumers. For returns without a defect, the voluntary 30-day return option described below applies. Cancellations and other goodwill arrangements require a separate agreement.
Business customers may return complete, functioning standard goods with no or slight signs of use, without invoking a defect, within 30 days after delivery in accordance with the return conditions. The return must be announced by e-mail before it is sent back; consent is not required for this. Statutory rights in respect of defects remain unaffected. For undamaged goods without signs of use we refund 100 % of the value of the goods; in the case of slight signs of use 90 %. In the case of clearly visible traces, a refund of 80 % may be agreed in individual cases.
We agree the return transport jointly. As a rule, the customer bears the costs of the return transport, unless otherwise agreed in writing; additional costs such as freight forwarding, assembly, packaging, payment processing or special configuration are not automatically refunded. In the case of individually configured products or specially procured goods, we discuss a possible take-back case by case.
13. Data protection
Information on the processing of personal data can be found in our privacy statement.
14. Final provisions
German law applies to the contract, excluding the UN Convention on Contracts for the International Sale of Goods (Vienna Sales Convention).
The competent court (Gerichtsstand) for all disputes arising from or in connection with contractual relationships with merchants (Kaufleute), legal entities under public law or special funds under public law is, insofar as legally permitted, that of the place of business of Ventec Systems GmbH. The same applies if the customer has no general place of jurisdiction (allgemeiner Gerichtsstand) in Germany.
Should individual provisions of these general terms and conditions be or become invalid, the validity of the remaining provisions remains unaffected.
